Welcome to Ribbon! These Terms of Service ("Terms") govern your use of the Ribbon website (getribbon.co) and application (collectively, the "Service"), operated by Foxen Canyon Holdings LLC ("Ribbon," "we," "us," or "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

1.1 What Ribbon Does

Ribbon is an AI-powered gift recommendation service that helps you:

  • Track important people and occasions in your life
  • Receive personalized gift recommendations
  • Get reminders before important dates

1.2 What Ribbon Does Not Do

  • We do not sell products directly—we recommend products available from third-party retailers
  • We do not guarantee product availability, pricing, or delivery
  • We do not process purchases—all transactions occur on retailer websites
  • We are not responsible for products you purchase based on our recommendations

2. Accounts

2.1 Account Creation

To use Ribbon, you must:

  • Be at least 16 years old
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials

You are responsible for all activity under your account. Notify us immediately at security@getribbon.co if you suspect unauthorized access.

2.2 One Account Per Person

Each person may maintain only one account. We reserve the right to terminate duplicate accounts.

2.3 Account Termination

You may delete your account at any time through Settings or by emailing support@getribbon.co.

We may suspend or terminate your account if you:

  • Violate these Terms
  • Engage in fraudulent activity
  • Abuse the Service or other users
  • Fail to pay subscription fees

3. Subscriptions and Billing

3.1 Free and Paid Tiers

Ribbon offers:

  • Free tier: Limited features as described on our pricing page
  • Plus tier ($8/month): Enhanced features and limits
  • Select tier ($24/month): Full feature access, including family plan (up to 5 accounts)

Current pricing and feature details are available at getribbon.co/pricing.

3.2 Billing

  • Subscriptions are billed monthly in advance
  • Payment is processed by Stripe
  • You authorize us to charge your payment method on file
  • Prices are in US dollars and exclude applicable taxes

3.3 Automatic Renewal

Subscriptions automatically renew each billing period. You may cancel at any time before the next billing date to avoid future charges.

3.4 Cancellation and Refunds

  • Cancel anytime in Settings or by emailing support@getribbon.co
  • Cancellation takes effect at the end of your current billing period
  • You retain paid features until the period ends
  • We do not provide partial refunds for unused time

Exceptions may be made at our sole discretion for:

  • Technical issues preventing use of the Service
  • Billing errors

3.5 Price Changes

We may change subscription prices with 30 days' notice. Price changes apply to the next billing cycle after notice. Continued use after a price change constitutes acceptance.

3.6 Free Trials

We may offer free trials of paid features. At trial end:

  • You will be charged unless you cancel before the trial ends
  • We will notify you before charging

4. User Content

4.1 Your Content

"User Content" means information you provide about yourself, recipients, occasions, feedback, and any other content you submit.

You retain ownership of your User Content. By submitting User Content, you grant Ribbon a worldwide, non-exclusive, royalty-free license to:

  • Use, store, and process your content to provide the Service
  • Create anonymized and aggregated datasets for analytics and improvement
  • Generate recommendations based on your content

4.2 Content Guidelines

You agree not to submit content that:

  • Is false, misleading, or fraudulent
  • Infringes intellectual property rights
  • Contains malware or harmful code
  • Is illegal, harassing, or abusive
  • Violates any person's privacy

4.3 Anonymized Data

We may create anonymized and aggregated data from User Content that cannot identify you or your recipients. This anonymized data may be used for:

  • Improving our AI and recommendations
  • Research and analytics
  • Business purposes, including potential acquisition

Anonymized data is not subject to deletion requests because it cannot be linked to you. See our Privacy Policy for details.

5. AI Recommendations

5.1 Nature of Recommendations

Gift recommendations are generated by artificial intelligence based on information you provide. Recommendations are:

  • Suggestions only, not guarantees of satisfaction
  • Based on algorithms that may not be perfect
  • Subject to product availability from third-party retailers

5.2 No Endorsement

Ribbon does not endorse, warrant, or guarantee any recommended product. Product quality, pricing, shipping, and returns are solely the responsibility of the retailer.

5.3 Affiliate Relationships

Disclosure: Ribbon earns commissions when you purchase products through our affiliate links. This does not affect the price you pay. Our recommendations are generated by AI based on recipient information—affiliate commissions do not influence which products are recommended.

You are not obligated to use our affiliate links. You may search for recommended products independently.

6. Intellectual Property

6.1 Our Property

The Service, including its design, features, content, trademarks, and technology, is owned by Ribbon and protected by intellectual property laws.

You may not:

  • Copy, modify, or distribute our content
  • Reverse engineer our software or AI
  • Use our trademarks without permission
  • Scrape or collect data from the Service

6.2 Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant us the right to use that feedback without compensation or attribution.

7. Prohibited Uses

You agree not to:

  • Abuse: Use the Service for any illegal purpose or to harm others
  • Interfere: Disrupt the Service or circumvent security measures
  • Spam: Use the Service to send unsolicited communications
  • Automate: Use bots, scripts, or automated tools without permission
  • Impersonate: Pretend to be another person or entity
  • Manipulate: Attempt to manipulate our AI or recommendation system
  • Resell: Resell access to the Service without authorization
  • Exploit: Use the Service to collect data about other users

8. Third-Party Services

8.1 Links to Retailers

The Service contains links to third-party retailers (Amazon, Etsy, etc.). These links are provided for convenience. We do not control and are not responsible for:

  • Third-party content, products, or services
  • Retailer pricing, availability, or shipping
  • Your transactions with third parties

Your use of third-party services is at your own risk and subject to their terms and policies.

8.2 Third-Party Integrations

We use third-party services to operate Ribbon (hosting, payments, email, etc.). Your use of the Service constitutes acceptance of applicable third-party terms, including:

  • Stripe (payments): stripe.com/legal
  • Google (OAuth): policies.google.com/terms

9. Disclaimers

9.1 "As Is" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR RELIABILITY OF RECOMMENDATIONS

9.2 No Guarantee

We do not guarantee that:

  • Recommendations will be satisfactory to you or recipients
  • The Service will be uninterrupted or error-free
  • Products will be available or accurately described
  • AI-generated content will be accurate or appropriate

10. Limitation of Liability

10.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RIBBON SHALL NOT BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, DATA, OR GOODWILL
  • SERVICE INTERRUPTION
  • UNAUTHORIZED ACCESS TO YOUR DATA
  • ANY THIRD-PARTY CONDUCT

10.2 Cap on Liability

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF:

  • THE AMOUNT YOU PAID TO RIBBON IN THE 12 MONTHS BEFORE THE CLAIM, OR
  • ONE HUNDRED US DOLLARS ($100)

10.3 Exceptions

Some jurisdictions do not allow limitation of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify and hold harmless Ribbon, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your User Content

12. Dispute Resolution

12.1 Informal Resolution

Before filing a legal claim, you agree to contact us at legal@getribbon.co and attempt to resolve the dispute informally for at least 30 days.

12.2 Arbitration Agreement

You and Ribbon agree to resolve any disputes through binding individual arbitration rather than in court, except for:

  • Small claims court actions
  • Injunctive relief for intellectual property infringement

Arbitration will be conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will take place in Arkansas or remotely.

12.3 Class Action Waiver

YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING. All claims must be brought individually.

12.4 Opt-Out

You may opt out of this arbitration agreement by emailing legal@getribbon.co within 30 days of first using the Service with subject line "Arbitration Opt-Out."

12.5 Governing Law

These Terms are governed by the laws of the State of Arkansas, without regard to conflict of law principles.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ribbon.

13.2 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

13.3 Waiver

Our failure to enforce a right does not waive that right.

13.4 Assignment

You may not assign your rights under these Terms. We may assign our rights to any successor or affiliate.

13.5 Notices

We may send notices via email to your registered address or through the Service. You may send notices to legal@getribbon.co.

13.6 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by:

  • Posting a notice on the Service
  • Sending an email to your registered address
  • Updating the "Last Updated" date

Continued use after changes become effective constitutes acceptance. If you do not agree to changes, you must stop using the Service and delete your account.

16. Additional Disclosures

16.1 Affiliate Disclosure (FTC Compliance)

Ribbon is a participant in affiliate programs, including the Amazon Services LLC Associates Program. This means:

  • We earn advertising fees when you purchase products through our links
  • This does not increase the price you pay
  • Our AI generates recommendations based on recipient information, not commission rates
  • We may recommend products from retailers with whom we have no affiliate relationship

16.2 AI Disclosure

Gift recommendations are generated by artificial intelligence (Anthropic Claude). The AI:

  • Analyzes information you provide about recipients
  • Suggests products that may match their interests and preferences
  • May occasionally suggest products that are unavailable or inappropriate
  • Does not have access to real-time inventory or pricing

We continuously work to improve recommendation quality. Your feedback helps us get better.
